Flat Data Standard Licence

This Flat Data Standard Licence (Standard Licence) is between BigDataCloud Pty Ltd ACN 627 240 162 (we, us) and the legal entity that is licensed to receive Flat Data from us (you). It applies to all Flat Data you are licensed to receive, and to any copies you make. It forms part of our Terms & Conditions. If you have signed a separate licence agreement with us for Flat Data, that agreement takes precedence over this Standard Licence where they conflict.

1. Who may use Flat Data

Only you and your employees. Your parent, subsidiaries and other related companies, and anyone else, including contractors, consultants and outsourced agencies, are third parties. Each related company needs its own licence.

2. How you may use it

You may use Flat Data only for your own internal business purposes, as its end user. For example, you may adapt content on your own websites and apps behind the scenes, prevent fraud against your own business, and report internally on your own traffic. You may keep copies on more than one computer or server, including with a cloud hosting provider, as long as only you and your employees can access them. When we publish a newer release, stop using and delete each replaced release within 30 days after it is replaced.

3. What you must not do

Unless we agree in writing, and whether or not Flat Data or any part of it is protected by copyright or any other right, you must not:

  • (a) store Flat Data anywhere a third party can access, query or search it;
  • (b) use it in or for any product or service sold or provided to third parties, including customising or targeting content or advertising for them;
  • (c) use it for geolocation or network features in any platform that serves or matches third parties;
  • (d) use it to build or run models, scores or decisions for fraud, risk or security services offered to third parties, even if they never see the data;
  • (e) share, sell, sublicense, publish or display Flat Data or anything derived from it to any third party, including IP-to-location pairs, any visitor's IP-derived location, or aggregate location statistics;
  • (f) use it to create or improve any IP geolocation or network data product or API;
  • (g) use it to identify or locate an individual, household or street address, or for credit, insurance or employment decisions;
  • (h) publish benchmarks or comparisons of Flat Data without our written approval; or
  • (i) remove proprietary notices or reverse engineer Flat Data, except where the law does not allow us to prevent it.

4. Other licences

For any other use, including related companies, third-party products, redistribution or OEM, contact us about a separately signed licence agreement.

5. Ownership

We and our licensors own Flat Data and all rights in it. You receive a licence to use it, not ownership.

6. Ending the licence

Your licence ends when your entitlement ends, or immediately if you breach this Standard Licence. Within 30 days after it ends, stop using Flat Data and delete all copies. If we ask, confirm this in writing.

7. No warranty and liability

Flat Data is provided as is. Warranties and liability are as set out in our Terms & Conditions, subject to any rights you have under the Australian Consumer Law that cannot be excluded.

8. Governing law

The law of South Australia governs this Standard Licence, and its courts have exclusive jurisdiction.
